The above-named client has engaged Alexander Internet Services for the specific and particular project of developing and/or improving a World Wide Web site.

1. SERVICES TO BE RENDERED: Alexander Internet Services agrees to perform the following web design services:

All services described herein are to be performed by Alexander Internet Services or its assigns in accordance with the standards and practices of the Web Services Industry.

2. CHARGES AND RATES: Alexander Internet Services includes the following elements in its web site packages:

Notwithstanding any prices listed in literature or on web pages, the client and Alexander Internet Services agree that the services described in this contract shall be completed for no less than $__________________, but not more than $__________________. web design services shall include up to ______ web pages.

3. MATERIALS PROVIDED BY CLIENT: The client shall provide the content of the web pages in digital file format (as specified by Alexander Internet Services). The terms and conditions set forth in this document constitutes the sole agreement between Alexander Internet Services and the client regarding this web site. Any additional work not specified in this contract must be authorized by a written change order.

4. ADDITIONAL SERVICES: Should the client desires additional standard web pages beyond the original number of pages specified above, the client agrees to pay Alexander Internet Services an additional $_______ for each web page, which includes ____ graphic image(s) per page.

5. PERFORMANCE: Alexander Internet Services agrees to complete a first draft of the web site no later than ____________________. Alexander Internet Services agrees thence to provide the completed web site within ___________________ business days of receipt of any written suggestions for edits and adjustments the client may wish to provide.

6. PAYMENT: Client agrees to pay to Alexander Internet Services an initial sum of $_____________ upon execution of this agreement. All remaining charges agreed upon and which may accrue shall become due and payable to Alexander Internet Services upon completion of the this project.

7. Delinquent bills will be assessed a $15 charge if payment is not received within 10 days of the due date. If an amount remains delinquent 30 days after its due date, an additional 10% penalty will be added for each month of delinquency. Alexander Internet Services reserves the right to remove web pages from viewing on the Internet until final payment is made. Should collection activities become necessary, the client agrees to pay all fees relating to said activity.

8. SUBCONTRACTING: Alexander Internet Services reserves the right to assign other web designers or subcontractors to this project to insure the right fit for the job as well as on-time completion.

9. WARRANTIES AND LIABILITY: Alexander Internet Services does not warrant that the functions contained in these web pages or the Internet web site will meet the client’s requirements or that the operation of the web pages will be uninterrupted or error-free. The entire risk as to the quality and performance of the web pages and web site is with client. In no event will Alexander Internet Services or its sub-contractors be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or web site, even if Alexander Internet Services has been advised of the possibility of such damages.

10. COPYRIGHTS AND INTELLECTUAL PROPERTIES: The client represents to Alexander Internet Services and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Alexander Internet Services for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements , and will hold harmless, protect, and defend Alexander Internet Services from any claim or suit arising from the use of such elements furnished by the client. Copyright to the assembled work of web pages produced by Alexander Internet Services is owned by Alexander Internet Services. Upon final payment of this contract, all rights owned by Alexander Internet Services as to the design, graphics, and text in this web site transfer/remain

11. VENUE: Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in Harris County, Texas, and any disputes will be litigated or arbitrated in Harris County, Texas

12. INTERNET ACCESS: Alexander Internet Services does not include an internet service. The client must obtain this service separately from an Internet Service Provider.

13. DOMAIN NAME REGISTRATION: Your selected unique domain name must be registered.  There is a separate yearly billing for this domain name.  This charge is approximately $20 per year and is generally charged to a credit card. 

14. PAYMENT: Alexander Internet Services received partial/full payment from the Client in the amount of
